End-User License Agreement

1. Agreement and Scope

This End-User License Agreement (“EULA”) governs your access to and use of WindowFlow’s website, applications, software, and related services (collectively, the “Services”). In this EULA, “WindowFlow,” “we,” “us,” and “our” refer to WindowFlow, and “you” or “your” refers to the individual or business using the Services.

By creating an account, accepting this EULA, or accessing or using the Services, you agree to be bound by this EULA and our Terms & Conditions. If you do not agree, do not access or use the Services.

2. License to Use the Services

Subject to this EULA and any applicable order or subscription terms, WindowFlow grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal business operations during the period in which you are authorized to use them.

This license does not transfer ownership of the Services or any WindowFlow intellectual property to you. Your right to use the Services ends when your account or authorization to use them ends.

3. Accounts and Authorized Users

You must provide accurate information and keep your account information current. You are responsible for maintaining the confidentiality of your login credentials and for activity under your account. Notify WindowFlow promptly if you believe your account or credentials have been compromised.

If you use the Services for a business, you represent that you have authority to accept this EULA on that business’s behalf. You are responsible for ensuring that your employees, contractors, and other authorized users follow this EULA.

4. Acceptable Use and Restrictions

You may not, and may not help another person to:

• Use the Services in violation of applicable law or third-party rights.
• Access or use the Services without authorization, or attempt to bypass security, access, or usage limits.
• Copy, modify, translate, reproduce, distribute, sell, lease, sublicense, or create derivative works of the Services except as expressly permitted.
• Reverse engineer, decompile, disassemble, or attempt to discover source code or non-public APIs, except where applicable law expressly permits it.
• Upload malware, harmful code, unlawful material, or content that interferes with the Services or another user’s access.
• Use automated means to scrape, overload, probe, or monitor the Services except with WindowFlow’s written permission.
• Use the Services to send deceptive, abusive, unsolicited, or unlawful communications.

5. Your Content and Data

You retain your rights in information, files, messages, and other content that you submit to the Services (“Customer Content”). You are responsible for the accuracy, legality, and appropriateness of your Customer Content and for obtaining all permissions needed to provide it to WindowFlow.

You grant WindowFlow a limited, worldwide, non-exclusive right to host, copy, process, transmit, display, and otherwise use Customer Content only as needed to provide, secure, maintain, troubleshoot, and improve the Services, comply with law, and enforce this EULA. WindowFlow does not acquire ownership of Customer Content through this EULA.

6. WindowFlow Intellectual Property

WindowFlow and its licensors own all rights, title, and interest in the Services, including the software, user interface, design, documentation, names, logos, trademarks, and other materials supplied by WindowFlow. Except for the limited license expressly granted in this EULA, no rights are granted to you by implication, estoppel, or otherwise.

If you provide suggestions, ideas, or feedback about the Services, you grant WindowFlow the right to use that feedback without restriction or compensation to you.

7. Subscriptions, Fees, and Changes

Some features may require a paid subscription. The applicable price, billing interval, included features, renewal terms, taxes, cancellation terms, and any trial terms will be presented when you select a plan or in an applicable order. You authorize WindowFlow and its payment providers to charge amounts due under those terms.

WindowFlow may change the Services, plans, features, or pricing prospectively. Changes will not affect a prepaid period except as required by law or stated in the applicable order. You are responsible for reviewing notices and keeping a current payment method where required.

8. Third-Party Services

The Services may connect to or rely on third-party products, platforms, hosting providers, communication providers, payment processors, or other services. Those third-party services are governed by their own terms and policies. WindowFlow is not responsible for third-party services, including their availability, security, content, or performance.

You are responsible for authorizing integrations and ensuring that your use of connected services complies with the applicable third-party terms.

9. SMS and Other Communications

You may separately and voluntarily opt in to transactional and operational SMS messages from inside an authenticated WindowFlow account. SMS consent is optional and is not a condition of purchase or use of the Services. Our SMS Terms & Conditions govern that messaging program.

You agree that WindowFlow may send service-related notices to the email address associated with your account. You can manage optional communications where the Services provide those controls.

10. Availability, Support, and Updates

WindowFlow may perform maintenance, release updates, change functionality, or discontinue features. We do not guarantee that the Services will always be available, uninterrupted, secure, or error-free, unless a separate written agreement expressly provides otherwise.

WindowFlow may provide support through the channels and during the hours described for your plan. Support does not include professional legal, accounting, tax, financial, medical, or other regulated advice.

11. Suspension and Termination

You may stop using the Services or close your account subject to any applicable subscription terms. WindowFlow may suspend or terminate access when reasonably necessary to protect the Services or users, comply with law, address nonpayment, or respond to a violation of this EULA.

When access ends, the license granted under this EULA ends and you must stop using the Services. Subject to legal and operational requirements, WindowFlow may delete or retain account information and Customer Content according to the Privacy Policy and applicable retention practices.

12. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WINDOWFLOW DISCLAIMS ALL WARRANTIES NOT EXPRESSLY PROVIDED IN THIS EULA, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WindowFlow does not warrant that the Services will meet every business need, produce a particular result, or prevent every error, interruption, loss, or security incident. You are responsible for maintaining appropriate backups and independently verifying information used to make business decisions.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WINDOWFLOW AND ITS LICENSORS, SERVICE PROVIDERS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, OPPORTUNITIES, GOODWILL, OR DATA, ARISING FROM OR RELATED TO THE SERVICES OR THIS EULA.

TO THE FULLEST EXTENT PERMITTED BY LAW, WINDOWFLOW’S TOTAL LIABILITY FOR CLAIMS ARISING FROM OR RELATED TO THE SERVICES OR THIS EULA WILL NOT EXCEED THE AMOUNT YOU PAID WINDOWFLOW FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Nothing in this EULA excludes liability that cannot be excluded under applicable law.

14. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless WindowFlow and its officers, directors, employees, and service providers from claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your Customer Content, your misuse of the Services, your violation of this EULA, or your violation of another person’s rights or applicable law.

15. Changes to This EULA

WindowFlow may update this EULA as the Services or legal requirements change. We will post the updated version and change the “Last Updated” date. If a change is material, we will provide notice when required by law. Your continued use of the Services after the effective date means you accept the updated EULA.

16. General Terms

This EULA, together with any applicable order or subscription terms and the documents it incorporates, is the entire agreement between you and WindowFlow regarding the Services. If a provision is found unenforceable, it will be modified to the minimum extent needed and the remaining provisions will remain in effect. WindowFlow’s failure to enforce a provision is not a waiver. You may not assign this EULA without WindowFlow’s prior written consent, except as part of a permitted business transfer. WindowFlow may assign this EULA in connection with a merger, acquisition, reorganization, or sale of assets.
